Altia has today received conditional approval for the merger from the Swedish
Competition Authority and offered remedies to the Finnish and Norwegian
competition authorities

Altia Plc (“Altia”) and Arcus ASA (“Arcus”) announced on 29 September 2020 the
merger of Altia’s and Arcus’ business operations through a statutory cross
-border absorption merger of Arcus into Altia (the “Merger”). The completion of
the Merger is subject to, inter alia, merger control approvals from the Finnish
Competition and Consumer Authority (the “FCCA”), the Swedish Competition
Authority (the “SCA”) and the Norwegian Competition Authority (the “NCA”).

The SCA has today decided to approve the Merger, conditional on the divestment
of Altia’s aquavit brands Skåne Akvavit and Hallands Fläder and cognac brand
Grönstedts and Arcus’ spirits brand Dworek. As an alternative to the divestment
of Altia’s cognac brand Grönstedts, Arcus’ Braastad brand may be sub-licensed in
Sweden. Altia and Arcus have also committed to provide transitional services to
the buyer for a limited period, to the extent required.

Altia and Arcus have also offered remedies to the FCCA and NCA. In Finland, the
proposed remedies include the divestment of Altia’s aquavit brand Skåne Akvavit
prior to the completion of the Merger and the termination of Arcus’ distribution
agreement concerning the liqueur brand Metsmaasikas. In Norway, the proposed
remedies include the divestment of Arcus’ aquavit brand Akevitt Spesial and
spirits brands Dworek and S.P.R.T. and Altia’s aquavit brand Skåne Akvavit prior
to the completion of the Merger. Also the remedies proposed to the FCCA and NCA
include commitments to provide transitional services to the buyer for a limited
period, to the extent required. The offered remedies may be subject to change
until the FCCA and NCA render their decisions.

The decision by the FCCA is expected to be received by 19 April 2021 and the
decision by the NCA by 20 May 2021.

Based on a commitment made by Arcus to the Danish Competition Council as set out
in the authority’s decision of 26 September 2012, Arcus is prevented from re
-acquiring the aquavit brand Brøndums, which it divested to Altia in 2013 in
order to receive clearance for its acquisition of Pernod Ricard Denmark A/S.
Therefore, to comply with the said decision, Altia will divest the aquavit brand
Brøndums.

The approved and proposed remedy divestments will not affect the previously
communicated synergy potential or the industrial logic behind the combination of
Altia and Arcus. These divestments will not include production equipment,
facilities or employees.

Altia and Arcus have had constructive dialogues with the competition authorities
during the antitrust review process, and the companies believe that the remedies
proposed to the FCCA and NCA will fully resolve the authorities’ concerns. Altia
and Arcus continue to be fully committed to the Merger and are working closely
with the competition authorities to obtain regulatory approvals allowing
completion of the Merger as planned by the end of the first half of 2021.
However, completion of the Merger may be delayed to fall of 2021, since the NCA
and FCCA require an “up-front buyer” to be included in the proposed remedies,
which means that a binding agreement on the divestments must be entered into
prior the completion of the Merger. The divestment processes have been
initiated, and negotiations with several potential buyers are ongoing.

Arcus published the previous update of the competition authority processes on 11
March 2021.

The Finnish Financial Supervisory Authority has today, on 20 April 2021,
approved a supplement (the “Supplement”) to the merger prospectus (the “Merger

The Supplement relates to the issuance of decisions by the Swedish Competition

Arcus: Altia and Arcus announce today that they have agreed on employee
participation within the combined company upon the completion of the merger

Altia Plc (“Altia”) and Arcus ASA (“Arcus”) announced on 29 September 2020 the
merger of Altia’s and Arcus’ business operations through a statutory cross
-border absorption merger of Arcus into Altia (the “Merger”). In accordance with
the merger plan entered into between Altia and Arcus, Altia and Arcus have
entered into negotiations with the special negotiating body of the employees
regarding the arrangement of employee participation within the combined company.

Altia and Arcus have agreed today on the employee participation with the
employee representatives of the companies. The employees of the combined company
will have the right to select two employee representatives to the Board of
Directors of the combined company. The employee representatives will have
personal deputy representatives. The right to vote and stand for election is
granted to the employees in the countries with the highest number of employees.
One employee representative and its deputy member shall be elected by and among
the employees of the combined company in the country with the highest number of
employees and one employee representative and its deputy member by and among the
employees of the combined company in the country with the second highest number
of employees.

The term of office for the employee representatives is approximately two years
and commences at the conclusion of the Annual General Meeting following the
election. However, the first term of the employee representatives will commence
upon the completion of the Merger and end at the conclusion of the Annual
General Meeting 2024.

In accordance with the merger plan approved by the Extraordinary General
Meetings of Altia and Arcus held on 12 November 2020, respectively, the
remuneration of the members of the Board of Directors nominated by the employees
as employee representatives shall be determined separately by the Board of
Directors but will not in any event exceed the remuneration of the shareholder
elected members of the Board of Directors.

Altia will announce the employee representative elections after they have been
made.

Arcus: Altia has today received conditional approval for the merger from the
Norwegian Competition Authority

Altia Plc (“Altia”) and Arcus ASA (“Arcus”) announced on 29 September 2020 the
merger of Altia’s and Arcus’ business operations through a statutory cross
-border absorption merger of Arcus into Altia (the “Merger”). The completion of
the Merger is subject to, inter alia, merger control approvals from the Finnish
Competition and Consumer Authority (the “FCCA”), the Swedish Competition
Authority (the “SCA”) and the Norwegian Competition Authority (the “NCA”). As
disclosed by Arcus on 15 April 2021 and 19 April 2021, the SCA and FCCA,
respectively, have already conditionally approved the Merger.

The NCA has today decided to approve the Merger, conditional on the divestment
of Altia’s aquavit brand Skåne Akvavit and Arcus’ aquavit brand Akevitt Spesial
and spirits brands Dworek and S.P.R.T. prior to the completion of the Merger.
Altia and Arcus have committed to provide transitional services to the buyer for
a limited period, to the extent required. The decision is in line with the
proposed remedies disclosed by Arcus on 15 April 2021. As a result of the NCA’s
conditional approval, Altia and Arcus have received conditional merger control
approvals for the Merger from the relevant authorities.

The approved remedy divestments will not affect the previously communicated
synergy potential or the industrial logic behind the combination of Altia and
Arcus. These divestments will not include production equipment, facilities or
employees.

The divestment processes concerning all required brands and related negotiations
with several potential buyers are ongoing. Altia and Arcus continue to be fully
committed to the Merger and are working closely with the competition authorities
to obtain regulatory approvals of relevant buyer(s) allowing completion of the
Merger as planned by the end of the first half of 2021. However, as disclosed on
15 April 2021, completion of the Merger may be delayed to the fall of 2021,
since a binding agreement on the divestments required by the NCA and FCCA must
be entered into prior to the completion of the Merger.

The Finnish Financial Supervisory Authority has today, on 27 May 2021, approved
a supplement (the “Supplement”) to the merger prospectus (the “Merger

The Supplement relates to the issuance of a decision by the Norwegian
Competition Authority on 19 May 2021 to conditionally accept the merger of Altia

The Finnish Financial Supervisory Authority has today, on 28 July 2021, approved
a supplement (the “Supplement”) to the merger prospectus (the “Merger
Prospectus”) concerning the merger between Altia Plc (“Altia”) and Arcus ASA
(“Arcus”) (the “Merger”).

The Supplement relates to the stock exchange releases published by Altia and
Arcus on 23 July 2021, according to which Altia and Arcus have agreed on the
divestment of certain brands of Altia and Arcus, and received all regulatory
approvals from the relevant authorities allowing for the completion of the
Merger.

A certificate of approval of the Supplement, with a copy of the Supplement will
be notified to the competent authority of Norway in accordance with Regulation

Arcus: Appointments in the future Anora Group Plc’s Executive Management Team -
Merger expected to be completed on 1 September 2021

Altia Plc (“Altia”) and Arcus ASA (“Arcus”) announced on 29 September 2020 the
merger of Altia’s and Arcus’ business operations through a statutory cross
-border absorption merger of Arcus into Altia (the “Merger”). The new combined
company will be named Anora Group Plc (“Anora”).

Altia and Arcus announce today appointments in the future Anora Executive
Management Team. Final decisions on a new operational structure of Anora are
planned to be made during the fourth quarter of 2021, after consultation with
employee representatives, as required.

The following persons have today been appointed members of the Executive
Management Team of Anora as of the completion of the Merger:

· Janne Halttunen, currently the SVP, Scandinavia of Altia
· Henrik Bodekaer Thomsen, currently the interim Managing Director of Arcus
Spirits
· Kirsi Puntila, currently the SVP, Marketing of Altia
· Kirsi Lehtola, currently the SVP, HR of Altia
· Hannu Tuominen, currently the SVP, Altia Industrial

Additionally, as previously announced, Pekka Tennilä, currently the CEO of
Altia, will become the CEO of Anora and Sigmund Toth, currently the CFO and
interim CEO of Arcus, will become the CFO of Anora, both also members of the
Executive Management Team of Anora upon completion of the Merger. The
appointments of the members of the Executive Management Team of Anora are
subject to the completion of the Merger.

The completion of the Merger is now expected to occur on 1 September 2021. As
previously announced, Altia will separately disclose further details on the
completion of the Merger prior to its completion.
