Entra ASA has re-opened the 7 year green bond issue ENTRA55 G (ISIN
NO0010895964, maturity 21.04.2028) with NOK 250,000,000 at an issue price of
95.68%, equivalent to an issue-spread of 3mn NIBOR + 0.77% p.a. The total amount
outstanding after this transaction is NOK 2,000,000,000.

The Proceeds from the bond issue is earmarked funding of a pool of
properties/projects with high environmental standards and a certification from
BREEAM with a minimum certification of “excellent”.

The current green bond framework for Entra was established in September 2016 by
the Centre for International Climate and Environmental Research Oslo (Cicero),
an independent research centre linked to the University of Oslo in Norway, and
was updated in April 2018 to also include BREEAM-In-Use. Cicero has given
Entra’s green bond framework its highest rating - Dark Shade of Green. This
rating is according to Cicero given only to projects and solutions that already
today realise the long term vision of a low-carbon and climate-resilient future.
Typically, this will entail zero-emission solutions and governance structures
that integrate environment concerns into all activities.

The transaction is arranged by Nordea.

Entra is in exclusive negotiations to acquire the property Fyrstikkalléen 1 for
approximately NOK 2.3 bn. Fyrstikkalléen 1 is a large, new-built office property
completed in 2020 which is fully let to three public tenants with a 9.4 years
WAULT. The asset totals 39,600 sqm and is located in Entra’s existing property
cluster at Helsfyr in Oslo.

The transaction is subject to satisfactory due diligence and board approval.

Entra has signed a lease contract with SAP for 1,700 sqm in Universitetsgata 7-9
in Oslo. The lease contract has a duration of seven years, starting in February
2022.

Universitetsgata 7-9 is a 21,900 sqm new-build project under development in
Tullinkvartalet in Oslo. The property will be finalised in Q3 2021 and is now 93
% pre-let.

Entra ASA (“Entra” or the “Company”) intends to purchase own shares worth
approximately NOK 14 million in connection with allocation of shares under the
share savings plan for employees.

All employees in Entra have received an offer to purchase shares for up to NOK
150,000 at a 20 % discount in accordance with the authorization given on the
annual general meeting on 23 April 2021. The offer price was NOK147.9 per share
and was calculated as the dividend adjusted volume weighted average share price
in the period from 24 March to 23 April 2021 minus a 20 % discount. 103
employees have ordered and been allocated a total of 72,473 shares in the shares
saving scheme. The lock-up period for the shares is two years.

The buyback will be made in accordance with the authorization granted at the
Company’s annual general meeting on 23 April 2021 where the minimum and maximum
price that can be paid per share were set at NOK 50 and NOK 300, respectively.
The buyback will commence following this announcement and is expected to end no
later than 21 May 2021. The shares shall be purchased on Oslo Børs.

Reference is made to the stock exchange release dated 6 May 2021 regarding
exclusive negotiations to acquire Fyrstikkalléen 1 at Helsfyr in Oslo. Entra has
now signed an agreement to acquire the property for NOK 2.4 bn. Fyrstikkalléen 1
is a large, new-built office property completed in 2020 which is fully let to
three public tenants with a 9.4 years WAULT. The asset totals 39,640 sqm and is
located in Entra’s existing property cluster at Helsfyr in Oslo. 12 months
rolling rent is estimated to NOK 94,7 million.

Fyrstikkalléen 1 consists of three buildings connected by a common atrium at the
ground floor. It is flexible, built with solid qualities and is certified
BREEAM-NOR Very Good. It was finalized in 2020 and Entra expects to be able to
certify the property BREEAM In-Use Excellent and to qualify for Entra’s green
bond framework in the future.

at Helsfyr in Oslo and will further strengthen Entra’s position as the leading
property owner, manager and developer. We believe the attractiveness of the area
will increase further going forward, and we see economies of scale from property

Helsfyr is a large and well-established office cluster located at a public
transportation hub with only 7 minutes metro ride from the Oslo Central Station.
Helsfyr has become one of the main hubs for public sector tenants in Oslo due to
its excellent access to public transportation. The surrounding area is under
development with a high degree of residential projects in progress, which is
believed to further increase the urban qualities and attractiveness of the
cluster in the future.

Entra owns three properties in the management portfolio totaling 71,000 sqm at
Helsfyr and eight properties totaling 71,000 sqm at the nearby location Bryn.
Entra also has a significant development portfolio at Helsfyr/Bryn totaling
135,000 sqm.

The transaction is expected to close on 25 June 2021.
