2020 whereby the Bond Trustee at the request of OKEA ASA (the “Company”) called
for bondholders’ meetings for each of the OKEA02 (with ISIN NO 0010826852) and
OKEA03 (with ISIN NO 001869175).

The bondholders’ meetings were held today and the proposed resolutions were
approved by a qualified majority in each of the bondholders’ meetings. As a
consequence, the Bond Terms will be updated accordingly. For the sake of good
order, the bondholders’ meetings summoned by a group of bondholders to be held
on 2 July and 7 July respectively are therefore no longer relevant, and no
further action in relation to these meetings will be accepted or taken by the
Company.

that the company has signed a Sales and Purchase Agreement (SPA) with Equinor
Energy AS (“Equinor”) for the acquisition of Equinor’s 40% operated working
interest in PL195 and PL195 B, which include the Aurora discovery, with
effective date 1 January 2020.

Aurora is a small gas discovery in the North Sea located west of the Gjøa field.
OKEA estimates that the recoverable volumes are in the range of 12-28 mmboe.
Wintershall DEA and Petoro each holds respectively 25% and 35% working interest
each in the licenses. OKEA aims to become operator for the licences and pursue a
low-cost development of Aurora as a tie-in to Gjøa without further appraisal
drilling. Both the transaction and a potential change in operatorship are
subject to approval by the Ministry of Petroleum and Energy.

“By this transaction we are diversifying our portfolio as well as strengthening
our position in the Gjøa area. A development of Aurora fits right into the core
of OKEA’s strategy with low-cost field development of smaller discoveries”, says

announce that the Company has signed a Sales and Purchase Agreement (SPA) with
Neptune Energy Norge AS (“Neptune”) for the acquisition of a 30% working
interest in PL938. Effective date for the transaction is 1 January 2020. Neptune
will remain as operator with 30% working interest in the licence.

PL938 is located less than 10km north-west of the OKEA-operated Draugen field
and directly north of the Bauge and Hyme fields. The licensees have committed
to drill an exploration well on the Calypso prospect in the licence and the plan
is to drill in late 2021 or 2022. As part of the agreement, OKEA will carry a
portion of Neptune’s costs for the well.

‘Calypso is an attractive prospect close to Draugen with a potential of up to 37
million barrels of oil’ comments Andrew McCann, SVP Subsurface & Wells in OKEA.
‘As operator of Draugen we are keen to find resources in the nearby area with
the potential to be developed through our existing infrastructure and Calypso
fits this exploration strategy well. We look forward to working with the
operator and other licensees to ensure an efficient exploration well and further
activity in the licence.’

strengthens our position in the Draugen area. If a discovery is made in the
licence, we will work to ensure an efficient development given our strategy and

PL938 was awarded in March 2018 as part of the APA2017 licensing round. The

The transaction is subject to approval by the Ministry of Petroleum and Energy.

Trondheim, 25 September - OKEA ASA (“OKEA” or the “Company”) has today received
the provisional norm price assessments for Q2 2020 for oil production on the
Norwegian Continental Shelf from the Petroleum Price Board (no:
Petroleumsprisrådet). Due to the extraordinary market situation during the
quarter, the provisional assessment for the norm price differentials were
significant for a number of fields. Compared to the initial estimate presented
in the Q2 2020 financial statements, the provisional norm price indicates a
reduction in the oil price for the Draugen lift in May of USD 10.75 per barrel.

The accounting effects of the provisional norm price assessment will be
recognised in the Company’s financial statements for Q3 2020 by an estimated
reduction in revenues of NOK 68m and an estimated reduction in profit after tax
of NOK 15m. Should the provisional assessment for the norm price be determined
as the final norm price, the cash implication for OKEA is estimated to a net
outflow of NOK 15m.

Budget which includes an updated investment estimate for the Repsol-operated Yme
New Development project. OKEA ASA (“OKEA” or the “Company”) has previously
provided market updates on the status of the project, including a revision of
the estimated production start-up to 2021.

A significant part of the increased capex estimate since the PDO was reflected
in the Company’s previous capex guiding. However, as a consequence of the recent
updates, OKEA increases the full year capex guiding for 2020 by NOK 100 million
to NOK 1,000 - 1,100 million.

OKEA delivered yet another quarter with no serious incidents at the operated
asset Draugen. Despite high production reliability both at Gjøa and Draugen in
the quarter, total net production was reduced to 13,303 (18,665) boepd due to
planned shutdowns both at Draugen and Gjøa (non-operated asset). During the
quarter, OKEA completed the maintenance turnaround at Draugen which was timed to
optimise operation for the production restriction measures implemented by the
Norwegian Government earlier this year.

“Once again, I am pleased to see the strong performance at our Draugen
operations. OKEA’s approach to the operatorship has resulted in high production
reliability combined with innovative project execution. The ongoing improvement
work will improve the financial performance at Draugen further and strengthen
the robustness going forward”, says Erik Haugane, CEO of OKEA.

Operating income for the quarter amounted to NOK 321 (622) million. The lower
income was due to significantly lower market prices and lower sold volumes in
addition to a reduction in revenue of NOK 57 million relating to an adjustment
of estimate from second quarter. Further delay in expected start of production
and increased capex in the Repsol-operated Yme project, resulted in impairments
of NOK 572 (0) million. EBITDA for the quarter amounted to NOK 116 (404) million
and cash at the end of the quarter was NOK 883 million.

“The temporary changes to the petroleum tax legislation has been a key enabler
for reassessing our profitable projects which were put on hold earlier this
year. Our activity level is now increasing, and we see attractive organic growth
potential for OKEA within our existing portfolio without the need for additional
equity. In addition, and as demonstrated by the Aurora acquisition and the farm
-in to Calypso during the quarter, we maintain an opportunistic view on mergers
and acquisition going forward”, says Mr. Haugane.
